A2 TAX SOLUTIONS — END USER LICENSE AND SERVICE AGREEMENT (EULA)

This End User License and Service Agreement ("Agreement") governs the authorization, integration, and use of the proprietary Excel-to-QBO Bridge ("Excel Bridge") developed by A2 Tax Solutions ("Firm," "Licensor," "we," "us," or "our") for linking to client QuickBooks Online ("QBO") company files via the Intuit Developer API.

By authorizing A2 Tax Solutions to connect the Excel Bridge to your QBO account, you ("Client," "Licensee," or "you") agree to the terms set forth in this Agreement.

1. Scope of Use & Internal Operation

• Internal Tool Exclusivity: The Excel Bridge is a proprietary software utility built exclusively for internal use by the sole proprietor of A2 Tax Solutions. It is not a commercially distributed application, nor is it licensed for standalone use by clients or third parties.

• Service Context: The functionality of the Excel Bridge is limited to transferring authorized read-only (or write-back where explicitly agreed upon) accounting data between your QBO file and firm tax/accounting workpapers.

2. Client Authorization & Grant of Access

• Granting Connection: By completing the Intuit OAuth 2.0 prompt, you grant A2 Tax Solutions permission to access, read, and process financial data from your designated QBO company file.

• Authority: You represent and warrant that you are an authorized owner, officer, or admin of the QBO account and possess full legal authority to grant access to the company financial data.

3. Intellectual Property Rights

A2 Tax Solutions retains all rights, title, interest, and intellectual property in and to the Excel Bridge, including custom VBA/Python scripts, API request structures, data-mapping logic, and formula design. Nothing in this Agreement transfers ownership of any software code to the Client.

4. Third-Party Platform Disclaimer (Intuit QuickBooks Online)

• API Availability: The Excel Bridge relies on the Intuit Developer API. A2 Tax Solutions is not liable for service interruptions, API rate limits, data sync failures, or modifications made by Intuit that impair functionality.

• Independent Entity: A2 Tax Solutions is an independent accounting firm and is not owned, operated, or directly endorsed by Intuit Inc., except as a compliant developer utilizing standard Intuit API frameworks.

5. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Excel Bridge is provided "as is" to facilitate internal tax preparation and accounting services.

• In no event shall A2 Tax Solutions be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or business disruption) arising out of or related to API connectivity or data transfer, exceeding the total professional fees paid by the Client to the Firm for the specific engagement giving rise to the claim.

6. Termination and Revocation

• You may revoke API connection privileges at any time through your QBO account management settings.

• A2 Tax Solutions reserves the right to disconnect the Excel Bridge connection upon completion of professional engagements, non-payment of fees, or termination of the client relationship.

• Sections regarding Intellectual Property, Limitation of Liability, and Governing Law shall survive termination.

7. Governing Law

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles.
